TUV NEL Ltd may change the terms of this Agreement at its sole discretion and at any time by posting changes online. Please review these terms regularly to ensure you are aware of any changes made by TUV NEL Ltd. Your continued use of webapp.ppds.co.uk after changes are posted means you agree to be legally bound by these terms as updated and/or amended. If you do not agree to the modifications, you should cancel your membership to the Services and terminate this Agreement.

Registration

We require a registration process so that you may choose a member name ("Member Name" or "Login" or "Login Name") and a password, and so that we may permit you to use this Service. Your Member Name will be used to identify you on webapp.ppds.co.uk. You may log in to webapp.ppds.co.uk, use the services or modify your information, only through your Member Name and password. You may not have more than one account or Member Name, and only one email address for your use of the Service. By registering, you certify that the email address you provide in the registration is accurate and belongs to you; otherwise we have the option of suspending your account with webapp.ppds.co.uk.
You are responsible for maintaining the confidentiality of your password and for any and all activities that occur under your Member Name and password. You agree to notify TUV NEL Ltd immediately of any unauthorized use of your account or any other breach of security you learn about.
To protect your privacy and the privacy of others, webapp.ppds.co.uk uses Member Names to identify participants. We keep your email address and other information strictly confidential. You should refrain from using identifiers in choosing your Member Name that would compromise your privacy, such as your email address, URLs, full name, street address, telephone or fax numbers, place of employment, etc.

Guidelines for Use

Access to webapp.ppds.co.uk is by purchased time credits. The Member is responsible for purchasing time credits and having enough credits available to perform the calculations required.
The Services and Site may not be used by scripts, machines or automated services without express written consent of TUV NEL Ltd.
If the Member discovers an error in the Service which requires correction, the Member shall forthwith inform TUV NEL Ltd.
TUV NEL Ltd undertakes to make every reasonable effort to correct any errors which the Member may discover in the Service.
It is the Member's responsibility to unsure that they correctly logout of the Service to avoid depleting their time credits.
It is the Member's responsibility to check their account regularly to ensure that the account balance is accurate.

Disclaimers and Limitation of Liability

webapp.ppds.co.uk content, including the information, names, images, pictures, logos and icons regarding or relating to the TUV NEL Ltd, its products and services (or to third party products and services), is provided "AS IS" and on an "AS AVAILABLE" basis without any representations or any kind of warranty made (whether express or implied by law) to the extent permitted by law, including the implied warranties of satisfactory quality, fitness for a particular purpose, non-infringement, compatibility, security and accuracy.
Under no circumstances will TUV NEL Ltd be liable for any of the following losses or damage (whether such losses where foreseen, foreseeable, known or otherwise): (a) loss of data; (b) loss of revenue or anticipated profits; (c) loss of business; (d) loss of opportunity; (e) loss of goodwill or injury to reputation; (f) losses suffered by third parties; or (g) any indirect, consequential, special or exemplary damages arising from the use of webapp.ppds.co.uk regardless of the form of action.
TUV NEL Ltd does not warrant that functions contained in webapp.ppds.co.uk content will be uninterrupted or error free, that defects will be corrected, or that webapp.ppds.co.uk or the server that makes it available are free of viruses or bugs.
Regardless of the type of claim or the nature of the cause of action, you agree that in no event shall TUV NEL Ltd, its affiliates, contractors, service providers, employees, agents or licensors, or any other party involved in creating, producing or delivering the services, technology or content available on the services be liable to you in any manner whatsoever: (i) for any decision made or action or non-action taken by you in reliance upon the information provided through the services; (ii) for loss or inaccuracy of data or cost of procurement of substitute goods, services or technology.
Your sole and exclusive remedy with respect to the use of any services provided by TUV NEL Ltd shall be cancellation of your membership to the Service.
TUV NEL Ltd provides its Services and Site to Members on the assumption that Members will act professionally and responsibly. If they do not, Members must bear full responsibility for their actions. As a Member, you agree to defend, indemnify and hold harmless TUV NEL Ltd, its officers, directors, employees and agents from and against all claims, demands, actions, suits, damages, liabilities and costs, including reasonable legal and experts' fees, related to or arising from (i) any breach of your covenants under this Agreement; (ii) your use of the Services or the Site; (iii) all conduct and activities occurring under your Member Name and password; TUV NEL Ltd reserves the right, at its own expense, to participate in the defense of any matter otherwise subject to indemnification from you, but shall have no obligation to do so. You shall not settle any such claim or liability without the prior written consent of TUV NEL Ltd, which shall not be unreasonably withheld.

Intellectual Property

The names, images and logos identifying TUV NEL Ltd, third parties and their products and services are subject to copyright, design rights and trade marks of TUV NEL Ltd and/or third parties. Nothing contained in these terms shall be construed as conferring by implication, estoppel or otherwise any licence or right to use any trademark, patent, design right or copyright of TUV NEL Ltd or any other third party.
The layout, design, concept and organization of the webapp.ppds.co.uk site are subject to TUV NEL Ltd's copyrights and other intellectual property rights. All rights are reserved.
In the event that the Member publish any research papers which include data and/or results derived from or produced by the Service then the Member shall ensure that reference to the Service is made in any such publication.

Term, Termination

This Agreement shall be effective for as long as you use the Services.
Either you or TUV NEL Ltd may terminate this Agreement with or without cause. TUV NEL Ltd may terminate this Agreement immediately if, based on TUV NEL Ltd's sole judgment, it determines that you have (i) breached this Agreement or the Guidelines established for the use of TUV NEL Ltd Services or Site, (ii) infringed or violated any intellectual property right of TUV NEL Ltd or (iii) infringed or violated any intellectual property right or privacy or publicity right of a third party.
The termination of this Agreement shall terminate your access to the Services. Neither TUV NEL Ltd nor any TUV NEL Ltd Affiliate shall be liable to you or to any third party for termination of the Services for any reason. The termination of this Agreement does not relieve you of your obligation to pay any Fees accrued or payable for use of the Services prior to the effective date of termination of this Agreement.
TUV NEL Ltd is not obligated to refund any unused portion of time credit a Member has purchased.

No Assignment

Your rights and obligations under this Agreement shall not be transferred or assigned directly or indirectly without the prior written consent of TUV NEL Ltd.

General

These terms shall be governed by and interpreted in accordance with the laws of England.
If any provision of this Agreement or portion thereof is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
